AGREEMENT of Design and Construction of Website

• Definitions.

• Design and construction of a Website with the following: Home page, Jobs Page – Listing the different jobs done by the company - and Contact us page.
• The Gallery will be applied to every job listed on the job page (one +60 pictures gallery & the rest up to 20 pictures gallery)
• The total cost of the project is____ thousand ________ hundred _________ dollars ($ _______) according to the estimate number 09xxxx.
• MICROK2, LLC offers maintenance for a period of 15 calendar days after date of delivery of the project. Offered maintenance will be based as provided in paragraph 4 of this agreement.

• Development of the project. This project will be developed using tools that MICROK2, LLC deems necessary for its implementation.

• Copyright and trademarks. Customer unconditionally guarantees that all text, graphics, photos, designs and trademarks delivered to MICROK2, LLC, to be included in this project, are owned by the client or the client has permission in writing of the owners to make use of them, leaving MICROK2, LLC free of any liability or claim from the owners. All projects will show the MICROK2, LLC copyright logo that will also be a hyperlink to our website. MICROK2, LLC shall have the right to keep a copy of this project to be exhibited and be included in its portfolio.

•  Maintenance. We offer up to fifteen (15) calendar days of maintenance that start counting the day of delivery. For three (3) pages you have the right to three (3) small changes. Changes are limited to small changes in sentences or paragraphs of text, replace pictures with others in the same format, and update external links to other websites. This maintenance clause doesn’t include replacing the whole text in a page, new pages, navigation, changes in the structure of pages changes, correct attempts to third parties to make modifications to pages.

•  Delivery. MICROK2, LLC and the client must work together to complete the project on time. To do this we require the client to deliver material that will be used on the website in a maximum of three (3) days following the signing of this contract. We commit to deliver the project in a period not exceeding 15 days, once the client has made delivery of all the materials necessary for its implementation. In the event customer has not delivered the material within five (5) days of signing this contract, MICROK2, LLC will terminate this agreement, only reimbursed 50% of the advance made. The project will be considered to be finished once it is put up on MICROK2, LLC’s hosting. Final payment will be due at this point. Once final payment is received we will transfer the website to the client’s hosting.

•  Publication. The customer understands that MICROK2, LLC does not offer website hosting service. This service involves the preparation of a contract separate service hosting provider online. The customer has agreed to select a provider hosting Internet proposed by MICROK2, LLC for the publication of the draft. All the hosting service charges are per customer account. Should customer choose a provider of accommodation of your choice, publication of the project will have an additional cost.

•  Payment. The client undertakes to pay 50% of the established cost at the time of signature of this contract. Once the project is finished the amount remaining on the estimated cost more additional charges for other services will be due. MICROK2, LLC reserves the right to remove Internet website until receipt of final payment for services rendered.
